TERMS & CONDITIONS

Welcome to Paytiks. These Terms & Conditions govern your access to and use of the Paytiks website, merchant dashboard, payment gateway, APIs, hosted checkout, payment links, settlement services, and related products and services

By creating an account, accessing our services, or using any Paytiks product, you agree to be bound by these Terms & Conditions. If you do not agree with these Terms, you must not use Paytiks.

1. ABOUT PAYTIKS

Paytiks is a payment infrastructure platform that helps businesses accept, manage, reconcile, and monitor online payments through payment gateways, hosted checkout, payment links, APIs, integrations, and merchant tools.

In these Terms, “Paytiks,” “we,” “us,” or “our” refers to Paytiks. “You” or “your” refers to the person, business, company, or organisation using Paytiks.

“Services” means all Paytiks websites, platforms, products, APIs, dashboards, payment tools, and related services.

“Merchant” means a business or organisation approved to use Paytiks to receive or process payments.

“Customer” means an individual or organisation making a payment to a Merchant.

2. ELIGIBILITY

You may use Paytiks only if you are at least 18 years old, have the legal capacity to enter into a binding agreement, are authorised to act for the business or organisation you represent, and comply with all applicable laws and regulations.

If you create an account on behalf of a business, you confirm that you have authority to bind that business to these Terms.

3. ACCOUNT REGISTRATION

To use certain Services, you must create a Paytiks account and provide accurate, complete, and current information.

You are responsible for maintaining the confidentiality of your login credentials, keeping your account information updated, preventing unauthorised access, and notifying us immediately of any suspected unauthorised access or security incident.

You must not share your account credentials, use another person’s account, or create an account using false or misleading information.

Paytiks may require identity, business, ownership, tax, banking, or other verification documents before approving or continuing your account.

4. MERCHANT APPROVAL AND VERIFICATION

Opening an account does not guarantee approval to process payments.

Paytiks may review your business, products, services, website, payment activity, ownership information, and risk profile. We may approve, reject, limit, suspend, or terminate access to any Service at our discretion or where required by law, payment-network rules, financial institutions, regulators, or our risk policies.

You agree to provide documents and information reasonably requested for verification, compliance, fraud prevention, anti-money-laundering, sanctions screening, or risk-management purposes.

5. USE OF THE SERVICES

Subject to these Terms, Paytiks grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Services for legitimate business purposes.

You are responsible for your products, services, pricing, invoices, payment descriptions, customer relationships, payment requests, transaction information, customer support, and compliance with applicable consumer-protection, tax, privacy, advertising, e-commerce, and financial laws.

You must maintain appropriate security controls for your systems and integrations and use the correct API keys, webhooks, credentials, and integration methods.

You must not use Paytiks to process transactions on behalf of another business unless Paytiks has expressly approved that arrangement.

6. PROHIBITED ACTIVITIES

You must not use Paytiks for any unlawful, fraudulent, deceptive, abusive, or harmful activity.

Prohibited activities include fraud, money laundering, terrorist financing, sanctions violations, counterfeit goods, stolen goods, illegal drugs, controlled substances, weapons, unlicensed financial activities, unlicensed gambling, adult services, sexually explicit goods or services, intellectual-property infringement, pyramid schemes, Ponzi schemes, phishing, malware, hacking, cybercrime, unauthorised payments, misleading payment descriptions, and attempts to bypass transaction limits or fraud controls.

You must not test stolen, unauthorised, or compromised payment credentials through Paytiks.

Paytiks may update its restricted-business requirements from time to time.

7. PAYMENT PROCESSING

Paytiks facilitates payment processing through payment networks, banks, wallet providers, card schemes, acquiring institutions, and other third-party payment partners.

A transaction may be declined, reversed, delayed, held, disputed, refunded, or cancelled by Paytiks or a payment partner. Paytiks does not guarantee that every transaction will be authorised or completed.

A payment may remain pending until confirmed by the relevant payment network. Successful authorisation does not guarantee final settlement.

Payments may be subject to fraud screening, compliance checks, chargebacks, reversals, and payment-network rules. Payment methods, currencies, processing times, and availability may vary by location, product, risk profile, and payment partner.

You are responsible for delivering your products or services and resolving customer complaints relating to your business.

8. PAYMENT LINKS AND HOSTED CHECKOUT

Paytiks may allow you to create payment links, hosted checkout pages, invoices, embedded payment forms, or other payment experiences.

You must ensure that payment links contain accurate descriptions and prices, are not distributed deceptively, and are disabled promptly when they are expired, cancelled, or incorrect.

Customers must receive all legally required information before making a payment. Your branding and content must not misrepresent your relationship with Paytiks.

Paytiks may disable or remove any payment link or checkout page that violates these Terms, creates risk, or may cause customer confusion.

9. FEES AND TAXES

You agree to pay all applicable processing fees, platform fees, payout fees, currency-conversion charges, chargeback fees, refund fees, and other charges displayed in your Paytiks account, pricing schedule, order form, or commercial agreement.

Fees may be deducted from transaction proceeds or charged to your nominated payment method. Fees are generally non-refundable once the applicable Service has been provided.

You are responsible for all taxes, duties, levies, or government charges associated with your business or transactions.

You must not misrepresent Paytiks fees or add unauthorised charges to customers.

Paytiks may change its fees by providing reasonable notice. Continued use of the Services after a fee change takes effect constitutes acceptance of the updated fees.

10. SETTLEMENTS AND PAYOUTS

Subject to approval, successful transactions may be settled to the bank account or payout method registered to your Paytiks account.

Settlement timing may be affected by verification reviews, compliance checks, fraud monitoring, chargebacks, refunds, reversals, disputes, banking holidays, payment-network delays, technical issues, incorrect payout information, currency conversion, cross-border processing, reserves, or account holds.

You are responsible for ensuring that your payout information is accurate. Paytiks is not responsible for delays or losses caused by incorrect information supplied by you.

11. REFUNDS, REVERSALS, AND CHARGEBACKS

You must maintain a clear refund and cancellation policy and comply with applicable consumer-protection laws.

You authorise Paytiks to process refunds requested or authorised by you, recover amounts associated with chargebacks, reversals, disputes, fraud, or payment errors, deduct amounts owed from future settlements or your account balance, and require you to fund any negative balance or unpaid amount.

You must respond promptly to requests for transaction records, proof of delivery, customer communications, invoices, or other information needed to investigate a dispute.

Failure to respond within the required timeframe may result in the dispute being decided against you.

12. RESERVES, HOLDS, AND ACCOUNT BALANCES

To manage financial, legal, fraud, chargeback, or operational risk, Paytiks may temporarily delay settlements, establish a reserve, limit transactions, or hold funds where reasonably necessary.

These measures may be applied where transaction activity changes significantly, unusual or potentially fraudulent activity is identified, there is an unusual number of refunds or disputes, you breach these Terms, a payment partner or regulator requires action, or Paytiks reasonably believes that amounts may become payable by you.

Where legally and operationally permitted, Paytiks will provide information about the applicable restriction and review it periodically.

13. CUSTOMER PAYMENTS

If you are a Merchant, you are responsible for your relationship with your customers.

You must clearly identify your business before requesting payment, display accurate prices and terms, obtain required customer permissions, protect customer information, provide customer support, and handle complaints, cancellations, refunds, delivery, and fulfilment obligations.

Paytiks is not the seller, supplier, manufacturer, or provider of goods or services offered by Merchants.

14. THIRD-PARTY SERVICES

The Services may depend on or integrate with banks, payment networks, card schemes, wallet providers, cloud providers, software platforms, and other third parties.

Third-party services may have their own terms, fees, privacy policies, availability limitations, and security requirements. You agree to comply with those requirements where applicable.

Paytiks is not responsible for the acts, omissions, outages, decisions, or policies of third-party providers.

15. API AND INTEGRATION REQUIREMENTS

If you use Paytiks APIs, SDKs, webhooks, plugins, or other integrations, you must protect all secret keys and credentials, use production credentials only in secure production environments, and never expose secret keys in public repositories, browsers, mobile applications, or client-side code.

You must validate webhook events, maintain reliable systems for receiving notifications, follow Paytiks’ technical documentation and usage limits, and notify Paytiks promptly of any suspected credential compromise.

Paytiks may rotate credentials, impose technical limits, change API versions, or discontinue outdated integrations after providing reasonable notice where practicable.

16. SECURITY AND DATA PROTECTION

You must maintain reasonable administrative, technical, and organisational safeguards to protect your account, systems, customer information, payment data, and credentials.

You must not store sensitive payment information unless legally permitted and appropriately secured. You must comply with applicable payment-security standards, including PCI DSS where relevant to your activities.

Paytiks processes personal information in accordance with its Privacy Policy, available at https://paytiks.com/privacy-policy.

17. INTELLECTUAL PROPERTY

The Services, including Paytiks’ software, APIs, documentation, designs, trademarks, logos, text, graphics, and other materials, are owned by or licensed to Paytiks and are protected by applicable intellectual-property laws.

Except as expressly permitted by these Terms, you must not copy, modify, distribute, sell, lease, licence, reverse engineer, decompile, or attempt to extract source code from any part of the Services.

You must not use Paytiks branding without prior written permission or use the Services to develop a competing product.

You retain ownership of content and materials that you submit to Paytiks. You grant Paytiks a limited licence to host, process, reproduce, transmit, and use that content as necessary to provide, secure, improve, and support the Services.

18. FEEDBACK

If you provide suggestions, ideas, feedback, or recommendations about Paytiks, you grant Paytiks the right to use them without restriction or compensation, provided that we do not identify you publicly without your permission.

19. AVAILABILITY AND SERVICE CHANGES

We aim to provide reliable Services, but we do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

The Services may be unavailable or limited because of maintenance, upgrades, internet or telecommunications failures, hosting or infrastructure failures, payment-network or banking outages, cybersecurity incidents, government action, legal requirements, events beyond our reasonable control, or changes made to improve, secure, or update the Services.

Paytiks may modify, suspend, or discontinue any Service. Where reasonably practicable, we will provide advance notice of material changes.

20. DISCLAIMERS

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.

Paytiks does not guarantee that every transaction will be approved or completed, that the Services will meet all of your requirements, that the Services will be uninterrupted or error-free, that payment disputes, fraud, or chargebacks will be prevented, that settlement will occur at a particular time, or that any particular business, financial, tax, or commercial result will be achieved.

Paytiks does not provide legal, tax, accounting, investment, or financial advice. You should obtain independent professional advice where appropriate.

21. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Paytiks will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive loss, including loss of profits, revenue, business, goodwill, data, or anticipated savings.

Paytiks will not be responsible for losses resulting from your breach of these Terms, incorrect information provided by you, unauthorised access caused by your failure to secure your account, your products or services, your customers or systems, third-party services, payment networks, fraudulent or disputed transactions, service interruptions outside Paytiks’ reasonable control, or your failure to comply with applicable laws or security requirements.

To the extent permitted by law, Paytiks’ total liability arising out of or relating to the Services will not exceed the fees paid by you to Paytiks during the six months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

22. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Paytiks, its affiliates, officers, directors, employees, contractors, and service providers from claims, losses, liabilities, penalties, costs, and expenses arising from your use or misuse of the Services, your breach of these Terms, your products or services, your business activities, your violation of any law or third-party right, fraud or negligence by you, or any dispute between you and your customers.

23. SUSPENSION AND TERMINATION

You may stop using the Services at any time, subject to your continuing obligations under these Terms.

Paytiks may suspend or terminate your account or access to any Service if you breach these Terms, if we reasonably suspect fraud or unlawful activity, if you provide inaccurate information, if you fail to pay amounts owed, if a payment partner or regulator requires us to act, if your account creates security or legal risk, or if we discontinue the relevant Service.

Termination does not release you from obligations relating to fees, refunds, chargebacks, disputes, confidentiality, intellectual property, indemnification, limitations of liability, or amounts owed.

24. CONFIDENTIALITY

Each party may receive confidential information from the other party while using or providing the Services.

The receiving party must use confidential information only for the purposes of these Terms, protect it using reasonable security measures, and not disclose it except to employees, contractors, advisers, service providers, regulators, or authorities who have a legitimate need to know.

25. CHANGES TO THESE TERMS

Paytiks may update these Terms from time to time.

When we make material changes, we may notify you by email, through your account, or by posting an updated version on our website.

If you continue using the Services after the updated Terms take effect, you accept the revised Terms.

26. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws applicable to Paytiks and its Services.

Any dispute arising out of or relating to these Terms or the Services will be handled by a court or other legally authorised dispute-resolution body with appropriate jurisdiction.

Before starting formal proceedings, the parties agree to make a good-faith effort to resolve the dispute by contacting Paytiks.

27. GENERAL TERMS

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.

Paytiks’ failure to enforce a provision does not waive its right to enforce that provision later.

You may not assign or transfer your rights or obligations under these Terms without Paytiks’ prior written consent. Paytiks may assign these Terms as part of a merger, acquisition, restructuring, sale of assets, or similar transaction.

These Terms, together with any applicable order form, pricing schedule, product terms, and referenced policies, form the entire agreement between you and Paytiks concerning the Services.
